Legal Battle Over Texas’ Anti-ESG Laws

Texas is embroiled in a legal battle as the American Sustainable Business Council (ASBC) challenges Senate Bill 13, a state law restricting investments and contracts with businesses that support reducing reliance on fossil fuels. The ASBC, a nonprofit advocating for environmentally sustainable business practices, filed the lawsuit in Austin’s federal court, arguing that the law infringes on free speech rights by penalizing companies based on their environmental, social, and governance (ESG) positions. 

Senate Bill 13, enacted in 2021, prohibits Texas from engaging with companies that “boycott” the oil and gas industry. Texas Comptroller Glenn Hegar, one of the defendants in the case, defended the law, stating it protects the state’s economic interests by ensuring taxpayer funds are not invested in ways that contradict Texas’ values. Hegar has also maintained a list of companies, including NatWest and BlackRock, whose ESG policies he claims unfairly target fossil fuels. 

The ASBC, which represents over 200,000 businesses, argues that the law violates the First Amendment by discriminating against companies based on their viewpoints. The nonprofit claims that Senate Bill 13 has harmed its members, such as Etho Capital and Our Sphere, by barring them from competing for state investments or contracts. 

This legal challenge could have significant implications for ESG policies and corporate freedoms across the United States. The outcome of the case, American Sustainable Business Council v. Hegar et al, in the U.S. District Court for the Western District of Texas, will likely influence how states regulate ESG considerations in business practices and investments.
